Terms of Service

The terms that govern your use of Karbeam.

These Terms of Service ("Terms") govern your access to and use of Karbeam, a service operated by TOURCRIB (SASU), 25 Avenue Catherine Klébert, 97233 Schœlcher, Martinique, France, registered with the Trade and Companies Register of Fort-de-France under number 883 509 291 ("Karbeam", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Karbeam is a software platform that helps used-car dealerships and sellers create branded social media content. From a vehicle listing URL, uploaded photos or manually entered details, Karbeam generates video reels, voice-overs and branded visuals, and lets you schedule and publish that content to connected platforms such as Facebook and Instagram, and view performance reporting.

2. Eligibility and professional use

The Service is intended for businesses and professionals acting for purposes relating to their commercial or professional activity. By using the Service you confirm that you are at least 18 years old and are authorized to act on behalf of the business you represent. Because you use the Service as a professional, statutory consumer protections, including the consumer right of withdrawal, do not apply.

3. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it up to date. Notify us promptly at [email protected] of any unauthorized use.

4. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • submit false, misleading or deceptive vehicle information, prices or descriptions;
  • upload content you do not have the rights to use, or that infringes intellectual property, privacy or other rights;
  • use the Service to create unlawful, defamatory, discriminatory or harmful content;
  • attempt to disrupt, reverse engineer, or gain unauthorized access to the Service;
  • violate the terms of any connected platform (such as Meta) or of any third-party listing site whose content you submit.

5. Third-party platforms

The Service integrates with third-party platforms, including Meta (Facebook and Instagram) and Stripe. Your use of those platforms is governed by their own terms and policies, and you are responsible for maintaining your accounts and permissions with them and for complying with their rules. We are not responsible for the availability, decisions or actions of third-party platforms, including if a platform removes content or suspends an account.

6. AI-generated content

Karbeam uses artificial intelligence to generate scripts, voice-overs, images and video. AI output may contain inaccuracies. You are solely responsible for reviewing all generated content before publishing it and for ensuring it is accurate, lawful and appropriate for your audience. Karbeam does not guarantee the accuracy or suitability of AI-generated content.

7. Your content and licence

You retain all rights in the photos, text and other materials you upload ("Your Content"). You grant Karbeam a worldwide, non-exclusive licence to host, process, adapt and use Your Content and the content generated from it solely to provide and improve the Service, including processing by the service providers listed in our Privacy Policy. You represent that you have all rights necessary to grant this licence. Karbeam and its licensors retain all rights in the platform, software, and Karbeam branding.

8. Subscriptions, credits and billing

Certain features require a paid subscription. Fees, plans and any usage credits are described at the point of purchase and are billed through our payment provider, Stripe. Unless stated otherwise, subscriptions renew automatically for successive periods until cancelled, and fees are stated exclusive of applicable taxes (such as VAT), which are added where required. You authorize us to charge your payment method for all applicable fees. Except where the law requires otherwise, fees paid are non-refundable, including for partial periods. You can cancel renewal at any time from your account or billing portal; cancellation takes effect at the end of the current billing period.

9. Suspension and termination

You may stop using the Service and delete your account at any time from Settings. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends and we will handle your data as described in our Privacy Policy.

10. Warranties and disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free or that generated content will meet your requirements.

11. Limitation of liability

To the fullest extent permitted by law, Karbeam shall not be liable for any indirect, incidental, special or consequential damages, or for any loss of profits, revenue, data or goodwill. Our total liability arising out of or relating to the Service is limited to the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the liability. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Indemnity

You agree to indemnify and hold Karbeam harmless from claims, damages and expenses arising out of Your Content, your use of the Service, or your breach of these Terms or of any third-party platform's terms.

13. Changes to the Service and to these Terms

We may modify or discontinue features of the Service, and we may update these Terms. We will post the updated Terms on this page and update the effective date. Where changes are material, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law and jurisdiction

These Terms are governed by French law. Any dispute relating to the Service or these Terms shall be subject to the exclusive jurisdiction of the competent courts of Fort-de-France, France, subject to any mandatory rule providing otherwise.
